CareWare Product Subscription Service (CPSS)
Liant Software Corporation offers a range of plans to ensure your company has access to prompt, quality customer service and Liant's latest product technology. Our CareWare Developer Support Service (CDSS) and CareWare Product Subscription Service (CPSS) together ensure that Liant can offer you the best service possible for maintaining your applications' development tools and runtimes and adapting to changes in your marketplace.
Basic Service
CareWare Product Subscription Service provides you with access to all generally available patches, updates and upgrades to a particular covered product (i.e., a product identified by serial number) for a one-year, annually renewable, term. Under CPSS, new versions of the product along with product documentation, provided in Adobe Acrobat (i.e., .pdf) format, are available electronically at no charge. Physical media can be requested for an additional fee plus shipping charges.
Product Exchange Feature
From time to time, you may desire to upgrade the usage level or change the operating platform of a previously purchased product. If this is the case and the product is covered by CareWare PSS, you may trade it in for a replacement product of the same type. In this case, the cost of the replacement product is computed as 20% of the normal price of the new product plus, when the new product is more expensive than the product being replaced, the difference in price between the new product and the product being replaced.
For example: if you have an Intel UNIX product that is covered under CareWare PSS, and you would like to upgrade to change platforms to a proprietary UNIX, then the formula for determining your cost is as follows.
$1,000 = current price for the Intel UNIX product
$1,500 = current price for the proprietary UNIX product
0.20(1,500) + (1,500-1,000) = $800
your replacement cost would be $800.
Additional CareWare PSS charges, if any, would be prorated for the balance of the PSS term for the original product.
The product being replaced must be either upgraded in place or removed from service and returned to Liant or certified as destroyed, as directed by Liant.
Term, Fees, and Billing
You may choose CareWare PSS at the time a product is initially purchased or within 30 days thereafter. If the service is not chosen at that time, or if it is not renewed, subsequent patches, updates, upgrades, and replacements to the product must be purchased as new product.
The annual fee for the CareWare Product Subscription Service is normally computed as a percentage of your Liant list price for the products covered. At the end of each one-year term, CareWare PSS for your covered product will be automatically renewed and invoiced, based on your then current list price, unless you notify Liant in writing prior to the expiration date. The fees for this service are payable in advance of the applicable CareWare Product Subscription Service period. All fees paid for PSS are non-refundable, even if the covered product is not replaced or upgraded during the period, or is removed from service.
